Advertiser : Refers to any individual, of legal age, acting exclusively for private and non-professional purposes (any professional advertiser is obliged to open a Pro Account and comply with the Terms and Conditions applicable to holders of a « Pro Account »), holder of a Personal Account and having placed an Advertisement from it on the Website, and/or on the Applications. Every Advertiser must be logged into their Personal Account to place and manage their Advertisement(s).
Applications : designates the Android application downloadable for free on an Android phone from the Google Play Store, and the optimized application for iPhone and iPad downloadable from the Apple App Store for free on an iPhone or iPad with at least iOS 7 for iPhone or iOS 8 for iPad, allowing Users and Advertisers to access the sn-topauto.com Service as defined in our Terms and Conditions.
Personal Account : designates the free space that any Advertiser must create and connect to from the Website and Applications in order to post, manage, and view their ads, subscribe to paid options, and purchase credits.
VisCom : designates the company that publishes and operates the Website and Applications, Suarl at: capital of 1,000,000 cfa, registered with the trade and companies register of Dakar under number 521,724,336 whose registered office is located at Sicap Dieuppeul 1 N°2338/C.
Customer Service : designates the VisCom service where the Advertiser can obtain any information complémentaire. Ce service peut être contacté par e-mail en cliquant sur le lien présent sur le Site Internet et les Applications.
Service sn-topauto.com : designates the topauto services made available to Users and Advertisers on the Website and Applications as described in our Terms and Conditions.
Website : designates the website operated by VisCom accessible primarily from the URL www.sn-topauto.com and allowing Users and Advertisers to access the topauto service via the internet as described in our Terms and Conditions.
User : designates any visitor, accessing the topauto service via the Website and/or the Applications and consulting the topauto service accessible from various media.
These General Terms and Conditions of Sale (GTC) establish the contractual conditions applicable to any subscription, by an Advertiser connected to their Personal Account, of paid option(s) and purchase of credits from the Website and Applications.
Any subscription to paid option(s) and/or purchase of credits by an Advertiser constitutes full acceptance of the current GTC.
4.1 General Rules
4.1.1 Paid Options
Subscribing to one or more paid option(s) is exclusively accessible to Advertisers connected to their Personal Account from the Website and/or Applications.
A paid option is subscribed to for only one Ad, therefore, it's not possible to transfer the benefits of a paid option from one Ad to another.
Multiple paid options can be subscribed to for the same Ad simultaneously or not.
The price of each paid option varies depending on the type of option subscribed to. The pricing grid for paid options by category is available in Article 6.
The Advertiser acknowledges and accepts that any Ad not corresponding to the product or service offered may be deleted at any time by VisCom without compensation or right to refund of amounts paid for subscribing to paid options.
Ads are ranked chronologically on the topauto Service based on the date and time they were posted. Therefore, every Advertiser acknowledges and accepts that their Ad's top listing is temporary.
4.1.2 Purchase of Credits
Purchase of credits is exclusively done from :
The purchased credits allow subscription to one or more paid options as described in Article 5 of these General Terms and Conditions of Sale.
Credits are attached to the Personal Account from which they were purchased and cannot be transferred to another Personal Account.
4.2 Subscription Space and Time
4.2.1 Paid Options
Paid options can be subscribed to by any Advertiser connected to their Personal Account from the Website and Applications:
The Additional Photo Pack can only be subscribed to at the time of submission, modification, or extension of an Ad.
The Gold Ads and Prestige Ads Packs can only be subscribed to during the dissemination of an Ad, from the Personal Account dashboard.
Advertisers cannot subscribe to Additional Photo Packs, Gold Ads, and Prestige Ads Packs from the Applications.
4.2.2 Purchase of Credits
Any Advertiser connected to their Personal Account can subscribe to a credit purchase offer described in Article 6 of these General Terms and Conditions of Sale.
Credit purchase cannot be done at the time of Ad submission or subscription to one or more paid option(s).
Currently, it is not possible to purchase credits from the Applications.
4.3 Duration and Effect of Paid Options and Credits
4.3.1 Paid Options
Except for the paid options « Gold Ads and Prestige Ads Packs » subscribed for 8, 15, or 30 days, « Move to the top of the list every day for 7 days » subscribed for a duration of seven days, « Move to the top of the list every day for 1 month » subscribed for a duration of 30 consecutive days, and « Move to the top of the list immediately » valid once at the time of subscription, any other paid option is subscribed for the duration of Ad dissemination excluding extension:
Upon early withdrawal of the Ad (either by the Advertiser or by VisCom especially in case of abusive content) or upon expiration of its dissemination period, the paid option ceases to have effect. Extending an Ad does not extend the duration of the paid option.
Modifying a Personal Account does not extend the duration of subscribed paid option(s).
Deleting a Personal Account leads to the deletion of all Ad(s) associated with that account (same email address) and consequently, of all subscribed paid option(s) for those Ads, with no right to refund or compensation, which the Advertiser acknowledges and accepts.
4.3.2 Credits
Each credit purchased has a validity period of 12 months, starting from the day of purchase. However, any new credit purchase results in a new 12-month validity period for all valid credits of the Advertiser, starting from the date of the new credit purchase.
Consequently, any credit not used before the end of its 12-month validity period will be deleted from the Advertiser's Personal Account, with no possibility of refund or compensation, if during this validity period the Advertiser has not made a new credit purchase, which the Advertiser acknowledges and accepts.
No extension of a credit's validity period can be requested from VisCom.
Deleting a Personal Account results in the deletion of credits associated with that account.
5.1 Ad Modification
This option allows you to modify certain fields of your Ad:
Sans que cela ne crée à sa charge une obligation de vérifier le contenu, VisCom se réserve le droit de refuser ou de supprimer, toute annonce modifiée par l'Annonceur qui ne respecterait pas les règles de diffusion du Service sn-topauto.com .
En cas de refus par VisCom de diffuser l'Annonce modifiée, un email informant l'Annonceur du refus lui sera envoyé .
Si l'Annonce modifiée est publiée, elle sera immédiatement remontée en tête de liste sur le Site Internet et les Applications .
5.2 Remonter mon annonce en tête de liste
Cette option payante se décline sous quatre formes :
5.2.1 Move to the top of the list immediately
L’Annonce sera remontée en tête de la liste de résultats, sur le Site Internet et les Applications, comme si elle venait d'être mise en ligne.
5.2.2 Move to the top of the list every day for 7 days
L'Annonce sera remontée en début de liste, sur le Site Internet et les Applications, chaque jour pendant 7 jours consécutifs à la date anniversaire de la souscription à l'option, pendant sa période de mise en ligne.
Un email sera adressé à l'Annonceur pour lui confirmer la souscription de l'option et un autre lui sera adressé le lendemain de la péremption de l'option, soit le 8ième jour, afin de l'en informer.
5.2.3 Remonter en tête de liste chaque jour pendant 30 jours
L'Annonce sera remontée en début de liste, sur le Site Internet, et les Applications, chaque jour pendant 30 jours, à compter : du lendemain du dépôt de l'Annonce, de sa modification ou de sa prolongation, si la souscription à cette option est réalisée au moment du dépôt de l'Annonce, de la modification ou de la prolongation, de la souscription à cette option si elle n'a pas lieu le jour du dépôt de l'Annonce, mais pendant sa période de mise en ligne.
Si la durée de mise en ligne de l'Annonce avant sa suppression est strictement inférieure à 7 jours, l'Annonceur ne pourra souscrire à l'option.
Un email sera adressé à l'Annonceur pour lui confirmer la souscription de l'option, un autre email lui sera adressé le 8eme, le 15ème et les 22ème jours de la souscription afin de lui rappeler que son Annonce est remontée en tête de liste tous les jours. Enfin un dernier email lui sera adressé la veille de la péremption de l'option, soit le 29ème jour après la souscription à l'option, afin de l'en informer.
5.2.4 Remonter en tête de liste chaque semaine pendant la durée de vie de l'annonce
L'Annonce sera positionnée en début de liste, sur le Site Internet et les Applications, chaque semaine à la date anniversaire du dépôt de l'Annonce, pendant toute sa période de validité.
Un email sera envoyé à l'Annonceur à chaque remontée de son Annonce en tête de liste.
5.3 Ajouter un hologramme "Urgent"
Cette option permet d’afficher un hologramme urgent sur une Annonce.
5.4 Mettre mon annonce en "Gold" ou "Prestige"
Cette option permet de diffuser une Annonce dans un emplacement séparé des autres Annonces, sur la page d’accueil, bien qu’elle soit visible aussi dans la liste de résultats des annonces du Site Internet qui correspond aux critères de recherche. Cet emplacement est identifié par un logo « Annonce Gold » ou « Annonce Prestige ». L'Annonce sera mise en avant au maximum avec d’autres Annonces. Les Annonces bénéficiant de l'option « Annonce Gold » ou « Annonce Prestige » s'afficheront de manière aléatoire, une Annonce ne sera donc pas visible en « Gold » ou « Prestige » en permanence sur le Site Internet.
Une annonce ne peut être en « Gold » et « Prestige » à la fois.
Pack « Annonce Gold » ou « Annonce Prestige » 1 (un) mois :
Pack « Annonce Gold » ou « Annonce Prestige » 3 (trois) mois :
L’Annonceur choisi le Pack et sa durée. En revanche, le Palier sera proposé par le Site en fonction du nombre d’Annonces éligibles diffusées sur le Site au jour de la souscription de cette Option payante.
Exemples
Si au jour de la souscription à l’un ou l’autre de ces 2 Packs, l’Annonceur avec 15 annonces éligibles diffusées sur le site, il lui sera proposé uniquement un pack 41 à 75 annonces pour une durée de 1 (un) ou 3 (trois) mois à choisir.
Si au jour de la souscription à l’un ou l’autre de ces 2 Packs, l’Annonceur avec 99 annonces Eligibles diffusées sur le site, il lui sera proposé un pack 76 à 100 annonces pour une durée de 1 (un) ou 3 (trois) mois à choisir.
Si, comme dans l’exemple, au jour de la souscription, le nombre d’Annonces Eligibles diffusées sur le Site est inférieur au nombre d’Annonces maximum que peut contenir l’un des Packs, l’Annonceur pourra, jusqu’à l’atteinte de ce nombre, faire entrer ses futures Annonces Eligibles dans son pack souscrit.
Une fois que le nombre maximum d’Annonces Eligibles a été atteint dans le Pack souscrit (à savoir : 10, 40, 75 ou 100), il n’est plus possible de faire entrer une nouvelle Annonce dans le Pack.
En revanche, l'expiration et la suppression, par l'Annonceur ou par VisCom, d'une Annonce du Pack Gold ou Prestige, entraine automatiquement, dans un délai maximum de 24 heures, l'entrée d'une nouvelle Annonce Eligible dans le Pack souscrit. L'entrée de nouvelle Annonce Eligible dans le Pack se fait dans l'ordre chronologique du dépôt.
A l’expiration du Pack Gold ou Prestige :
La suppression d’une Annonce bénéficiant du Pack Gold ou Prestige n’entraine pas l’expiration du Pack sur les autres annonces du compte.
L’expiration du Pack Gold ou Prestige n’entraine pas la suppression des Annonces éligibles entrées dans ce Pack.
La suppression du Compte Personnel entraine l’expiration immédiate du Pack Gold ou Prestige et des Annonces.
5.5 Additional Photo Pack
Cette option permet d'ajouter huit (8) photographies supplémentaires dans une Annonce et ainsi de présenter au maximum douze (12) photographies dans une Annonce.
Cette option ne peut être souscrite que depuis le Site Internet lors du dépôt, de la modification ou de la prolongation de l'Annonce.
Si l'Annonce est publiée par VisCom, elle sera diffusée avec les photos supplémentaires sur le Site Internet et les Applications.

7.1 Paid Options
Subscribing to one or more paid option(s) can be done by any Advertiser connected to their Personal Account :
Payment is due upon subscribing to each paid option.
Any subscription to a paid option by credit card will result in an invoice sent to the email address provided by the Advertiser during the Ad submission.
Any subscription to a paid option by credits will result in the sending of a receipt to the email address provided by the Advertiser during the creation of their Personal Account.
Any subscription to a paid option using credits and credit card will result in the sending of two emails: The first email will contain an invoice corresponding to the credit card payment, The second email will include a purchase receipt for the credits.
Invoices and receipts will appear in the Personal Account.
The Advertiser, from the "My Purchases" tab, has the option to download PDF copies of their invoices and receipts related to the subscription of paid options.
7.2 Purchase of Credits

The Advertiser, from the "My Purchases" tab, has the option to download PDF copies of their invoices related to credit purchases.
7.3 Refund
In case of Ad deletion
If the dissemination of an Ad is rejected by VisCom due to non-compliance with the Service's dissemination rules sn-topauto.com:
However, if VisCom were compelled to delete the Ad during its broadcast due to Non-compliance with the Service's dissemination rules sn-topauto.com And especially because its content has been legitimately reported as abusive, VisCom VisCom will not refund the Advertiser the credits and/or the amount of the paid option(s) subscribed to during the submission or modification of the Ad thus deleted during its broadcast.
In case of deletion of a Personal Account code
The deletion of a Personal Account results in the deletion of all attached Ads, and consequently, the deletion of all subscribed paid options for these Ads, and does not entitle to any refund or compensation, which the Advertiser acknowledges and accepts..
The deletion of a Personal Account results in the deletion of associated credits, without entitlement to any refund, which the Advertiser acknowledges and accepts..
VisCom's liability cannot be engaged in case of non-performance or poor performance of the order due either to the Advertiser's fault or a force majeure event..
VisCom
reserves the right, at any time, to modify all or part of the T&Cs..
Advertisers are invited to regularly review the T&Cs to become aware of any changes made..
If any part of the T&Cs is found to be illegal, invalid, or unenforceable for any reason, the relevant provisions will be deemed unwritten, without affecting the validity of the other provisions which will continue to apply between the Advertisers and VisCom, unless it was a decisive clause that led one of the Parties to subscribe to the paid Option..

Refusal of an Insertion Order or Interruption of an Advertisement : Sn- TopAuto.com reserves the right to refuse any insertion order or to interrupt at any time, without notification, the distribution of an advertisement or redirection to a website whose content would not comply with the laws and regulations in force, has a political, philosophical, or religious nature, is contrary to good morals, ethics, or public order, or would harm Sn-TopAuto.com's brand image or interests. The advertiser cannot claim any compensation for this refusal; nor can they use this refusal as an argument to avoid honoring, on their due dates, the payment of royalties and, if applicable, technical costs for advertisements already inserted or posted online..
Additionally, in the case of public authority injunctions or lawsuits regarding the refused advertisement, the advertiser, besides guaranteeing Sn-TopAuto.com against any claims for damages and legal fees, will bear the costs of any eventual advertisement removal..
Should Sn-TopAuto.com refuse an advertisement that does not comply with the provisions of these General Conditions, the Client has the option to provide Sn-TopAuto.com with a new advertising message that meets these provisions for replacement broadcast. Alternatively, the Client may choose to cancel their order outright, without being liable for any cancellation fees.
Delivery of elements related to insertion : The advertiser or their agent must provide Sn-TopAuto.com with all promotional elements (banner, button, etc.) in electronic file form, in sufficient quantity and conforming to Sn-TopAuto.com's specifications, at least three (3) days before the first online posting date of the advertisement. Failing that, Sn-TopAuto.com would be entitled to refuse to proceed with the online posting of the advertising campaign on the agreed date.
In case of non-compliance of the advertisement with the required technical standards, the Client must make the necessary modifications within the initial time frame required for online posting or, if impossible within that time frame, for any online posting at a later date, within the time frame specified to them by Sn-TopAuto.com.
The creation (design, animation, blinking, etc.) of the advertiser's insertion (banners, buttons, etc.) must be subject to the prior and express approval of Sn-TopAuto.com.
Defects constituting defects in the advertising material, such as an electronic weight that is too high for advertising banners or a delay in the delivery of said material, as well as a delay in the launch of the websites they are intended to promote, cannot, under any circumstances, justify the cancellation of the insertion order or entitle the advertiser or their agent to any compensation.
Furthermore, the delay not duly reported within forty-eight hours (48h) before the campaign start date as stated on the insertion order will result in billing by Sn-TopAuto.com on the agreed date for the advertisement(s) concerned, including for time-limited products.
The delay in the delivery of the material or the launch of the websites duly reported within two (2) days will authorize the postponement of the online posting within new deadlines specified by Sn-TopAuto.com, depending on the availability of its schedule.

- Current Rate : The prices are those in effect on the day of the operation, with the rates appearing in Sn-TopAuto.com brochures always being indicative and subject to change during the year. The prices on the quotes are valid for one month. The current rate is communicated by Sn-TopAuto.com to any advertiser who requests it. Prices are exclusive of VAT, which is additionally borne by the Client who agrees to it.
- Taxes and Technical Fees : All current and/or future taxes concerning advertising (online or otherwise) and all technical fees such as composition fees, creation and development fees for the editor's or subcontractors' advertising banners are not included in the rate and are therefore entirely additional, at the Client's expense.
- Professional Discount : Sn-TopAuto.com grants a 15% professional discount to the advertiser who uses the services of an advertising agency acting as the advertiser's agent for the order. However, the agency must provide Sn-TopAuto.com with proof of the agency contract binding it to the advertiser for the advertiser to benefit from the above-mentioned discount.
- Rate Modification : Any rate modification is communicated by all means to the Client whose insertion orders have not yet been executed one (1) month before the effective date of the new rate. The Client then has five (5) days to cancel their order in writing. In the absence of such cancellation, the Client is deemed to have accepted the new rate which applies to any insertion not yet executed.
- Payment Terms : Invoicing is established in the name of the advertiser upon registration of the insertion order. In the case of an agent, the invoice will be established in the name of the advertiser and Sn-TopAuto.com will send a copy of the invoice to the advertiser's agent if the agent is responsible for payment.
Payments are to be made in cash, by transfer, or by bank check.
Unless otherwise agreed, any Client order will result in a cash payment under the above conditions.
By express agreement, regardless of the planned payment method, failure to pay on the due date will automatically and without prior notice, without prejudice to the "TERMINATION" clause below:
- the immediate application of a late payment interest rate of one and a half times the legal interest rate. Interest is due simply by the failure to meet the contractual deadline. This rate is calculated pro rata temporis on a monthly basis. The above-mentioned amount will be capitalized at the end of each annual period. - Sn-TopAuto.com's exercise of a right of retention on all documents and materials entrusted by the Client as long as all sums due to it are not fully paid, without prejudice to Sn-TopAuto.com's right, if it deems appropriate, notwithstanding any other remedy, to immediately suspend the execution of any Client insertion order and to immediately stop the execution of Client orders, until payments are resumed, without the advertiser being able to claim any compensation against Sn-TopAuto.com and without prejudice to any applicable price and time modifications during the resumption of the execution of the services. It is understood that the part of the campaign that has elapsed before the interruption will be due by the Client.
- Discount for Cash Payment : Sn-TopAuto.com does not offer any discount for cash payment.
- Quality - File Selection - Limitation of Liability in Case of Insufficient Yields as Judged by the Client : Sn-TopAuto.com Will make every effort to meet the quality standards expected in direct communication professions. However, Sn-TopAuto.com cannot guarantee that the Files are free from errors, outdated references, or inaccuracies.
The choice of Files is made by the Client alone, under their sole responsibility, based on the information in the catalog.
Upon special request, assistance in selection may be provided to the Client under a simple obligation of means from Sn-TopAuto.com.
In the absence of such a request, the Client is assumed to have all the necessary competence to assess the quality of the Files and their suitability for the recipients, given their message. In no case can the responsibility of Sn-TopAuto.com be sought for the choice of selections, the suitability of the nominative references to the messages, and, generally, the suitability of the Files to the objectives that the Client wishes to achieve.
Message: Each request for availability is subject to agreement accompanied by a sample of the message to be sent.
The Client is fully responsible for the contents and other personal data of their message. This applies both to the informational content and the form conditions. In no case can Sn-TopAuto.com's liability be engaged in connection with said message.
The Client prohibits any message sending that is:
- contrary to public order and good morals,
- not corresponding to an economic purpose,
- likely to harm the image of Sn-TopAuto.com,
- not respecting the laws and regulations in force.
Sn-TopAuto.com's non-opposition to the sending of the message does not, in any case, release the Client from their responsibility.
Limitation of liability of Sn-TopAuto.com: The execution deadlines for insertion orders or orders are always given by Sn-TopAuto.com as an indication. The Client cannot cancel an order due to non-compliance with deadlines or hold Sn-TopAuto.com liable for this reason.
Moreover, any delay, suspension, or cancellation in the distribution or online posting of the advertisement due to a technical failure of the Internet network, such as, but not limited to, a malfunction or interruption of the Internet network preventing rerouting, and generally the occurrence of any unforeseen event or force majeure, cannot give rise to any compensation of any kind from Sn-TopAuto.com, for the benefit of the advertiser and /or their agent.
Expressly, in addition to those usually retained by the case law of Senegalese Courts and Tribunals, total or partial strikes, internal or external to the company, lock-outs, bad weather, epidemics, blockage of means of transport or supply for any reason whatsoever, earthquakes, fires, storms, floods, water damage, government or legal restrictions, legal or regulatory changes in marketing forms, computer failures, blockage of telecommunications and distribution networks, and generally, any other case independent of the express will of one of the Parties that would prevent the normal execution of this agreement.
In case a liability could be held judicially against Sn-TopAuto.com, By express agreement, whatever the agreed payment method, the non-payment on the due date will result in the immediate application of late interest at the legal rate increased by 1.5 times the legal interest rate Sn-TopAuto.com.
Cancellation, modification and claim conditions : Only cancellation requests made by the Client by registered letter with acknowledgment of receipt, respecting a minimum notice period of seven (7) working days before, as appropriate, the first date of posting, the date scheduled for the availability of addresses, or for any other product the scheduled start date of execution of the order will be considered, and will result in application by Sn-TopAuto.coma flat-rate indemnity of 30% of the initial amount, as a flat-rate and global compensation. Sn- TopAuto.com is authorized to withhold the amount of said indemnity before any refund to the Client.
Any cancellation request made less than seven (7) days before, as appropriate, the first date of posting, or for any other product the scheduled start date of execution of the order will not be considered: in this case, the full initial amount will be due by Sn-TopAuto.com.
As a result, the advertiser cannot cancel and request a refund for any promotional item (banner, button, or advertisement...) that has been executed, nor for insertion orders for which the cancellation request did not comply with the 7 working days notice period.
The failure of the advertiser or their agent to provide the elements related to the insertion does not constitute grounds for cancellation of the contract.
Any claim regarding an online advertising product placement order containing one or more errors must be made within five (5) working days following the start of the first online publication of the advertisement or banner, so that any anomalies can be corrected promptly. Otherwise, the publication will be deemed compliant and effective during the publication period.
In any event, no claim shall be considered by Sn-TopAuto.com unless it follows a joint verification conducted by the advertiser and a designated Sn-TopAuto.com employee.
Resolutive clause : Sn-TopAuto.com n-TopAuto.com may terminate the contract with immediate effect in case of non-payment of any installment, five (5) business days after sending a registered letter with acknowledgment of receipt to the Client, without prejudice to Sn-TopAuto.com's right to pursue payment due for executed or pending insertion orders and to suspend, as a first and immediate sanction, the execution of any ongoing insertion order until the advertiser resumes payments.
In case of breach by one party of any other obligations herein, not remedied within fifteen days of sending a registered letter with acknowledgment of receipt notifying the breaches, the other party may avail itself of automatic termination of the contract, subject to all damages and interests it may claim under this agreement.
In case of reorganization or liquidation proceedings, temporary suspension of proceedings, bankruptcy, or similar procedures, the contract will be automatically terminated.
Confidentiality: The Parties agree to keep confidential all information and documents provided during the execution of these presents. They commit to obtain a similar commitment from their personnel and subcontractors.
General Provisions
Entirety of Agreement: These General Terms and Conditions, along with the Special Conditions setting the terms of the order, together express the entirety of the parties' obligations.
Tolerance: The fact that one party does not invoke a breach by the other party of any of the obligations stipulated herein shall not be interpreted as a waiver of the obligation in question for the future.
Partial Annulment: If one or more provisions of these conditions are deemed invalid or declared as such pursuant to a law, a regulation, or following a final decision of a competent court, the other provisions shall retain their full force and scope.
Election of Domicile: The Parties elect domicile at their respective domiciles or registered offices.
Sn-TopAuto.com The company reserves the right to modify its general terms of sale at any time.
Applicable law and jurisdiction:
The execution and interpretation of this contract are governed by Senegalese law. For the execution and interpretation of these presents and their consequences, the parties expressly attribute jurisdiction to the Commercial Court of Dakar, notwithstanding multiple defendants or third-party notices.
